SLK Electrical — Terms of Service (v2)

Effective date: October 1, 2026 Supersedes: Terms & Conditions v1 (July 1, 2026), which is retained for reference only.

Important — read first. This document was drafted to reflect Québec law and the realities of engineering software.

1. Contracting parties

"SLK Electrical", "we", "us", "our" means Benjamin Slakmon, operating as a sole proprietorship under the registered business name "SLK Électrique" (Registraire des entreprises du Québec), and its successors and assigns.

Transition clause. When SLK Électrique is incorporated, all rights and obligations under these Terms transfer automatically to the resulting corporation, and references to "SLK Electrical" shall be read as references to that corporation. Users will be notified; continued use after notification constitutes acceptance.

"You", "your", "Customer" means the individual or organization using the Services. If you use the Services on behalf of an organization, you represent that you have the authority to bind it.

2. Acceptance

By creating an account, accessing the platform, uploading content, generating calculations or drawings, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

3. The Services

SLK Electrical provides software tools to assist electrical engineering workflows: project and deliverable management, equipment registers, document management, electrical calculations (load lists, cable/breaker sizing, voltage drop, short-circuit, transformer and motor calculations, grounding), drafting tools and symbol libraries, and AI-assisted features.

The Services are productivity and reference tools only. They do not replace professional engineering judgment, licensed review, site verification, commissioning, inspection, code compliance review, manufacturer verification, or regulatory approval.

4. No professional engineering services — engineer of record

SLK Electrical does not provide professional engineering services. Use of the Services does not create an engineer-client relationship, a duty of care from SLK Electrical to any project party, or any professional responsibility by SLK Electrical for your projects, designs, calculations, drawings, installations, or decisions.

You — or the licensed professional you designate — are the engineer of record. All engineering work must be reviewed, approved, authenticated, and sealed/stamped by properly qualified professionals where required by law, including under the *Engineers Act* (Québec) and the rules of the Ordre des ingénieurs du Québec.

5. Your responsibility for engineering decisions

You are solely responsible for verifying all inputs, assumptions, calculations, drawings, equipment ratings, code references, standards, and safety-related decisions produced with or by the Services. No output of the Services may be used for procurement, construction, fabrication, installation, energization, commissioning, operation, or professional submission unless independently reviewed and approved by qualified professionals.

6. Calculations and the engineering record

Calculation outputs are provided for assistance only and carry no professional certification. Where the Services generate a calculation, they record the engineering trail: inputs, assumptions, units, standards/references, formulas, result, revision, author, reviewer, and approval status.

A software-generated result is never a stamped or certified engineering document. Professional verification and approval remain entirely yours.

7. AI features

AI-assisted features (explanations, document/drawing generation, recommendations) may produce inaccurate, incomplete, or inappropriate content. AI output is Generated Output subject to Sections 4–6: it must be reviewed by qualified persons before any engineering use. You are responsible for the prompts and data you submit to AI features; do not submit confidential third-party information you are not entitled to share.

8. Safety-critical and industrial use

You must not rely solely on the Services for safety-critical decisions, including protective relaying settings, arc-flash boundaries, hazardous-location (hazloc) classification, or life-safety systems, without independent professional verification, field verification, and compliance with applicable codes (including the Canadian Electrical Code as adopted in your jurisdiction).

9. Accounts and organizations

You must provide accurate registration information and keep credentials confidential. Organization accounts have roles (e.g., owner, admin, member, viewer); the Customer is responsible for managing its users and their permissions. External client/viewer accounts are free and have read-only access as configured by the Customer.

10. Acceptable use

You must not: compromise or probe the security of the Services; bypass authentication or access controls; access another organization's data; introduce malware; interfere with service operation; use the Services for unlawful purposes; or upload content you have no right to use. Security issues must be reported responsibly and not exploited.

11. Your data — ownership, confidentiality, export, deletion

You own your data. All project data, documents, drawings, calculations, and other content you upload or create ("Customer Data") remains yours. SLK Electrical claims no ownership over Customer Data.

  • Confidentiality. We treat Customer Data as confidential and do not access it

except to operate, maintain, secure, and support the Services, or as required by law. We do not use Customer Data to train AI models.

  • Export. You may export your Customer Data at any time in standard formats, free

of charge. No lock-in: if you leave, your data leaves with you.

  • Deletion. On termination or at your written request, we delete Customer Data

from production systems within 30 days. Backups age out according to our retention policy (currently 7 days on production infrastructure) and are then unrecoverable. We may retain minimal records as required by law (e.g., billing records).

12. Backups

We maintain daily backups of production data with 7-day retention and test restoration periodically. Backups are a safety net, not a substitute for your own records: you are responsible for retaining authoritative copies of engineering documents issued for construction or regulatory purposes.

13. Our intellectual property

The Services, including software, designs, the component catalog, symbol libraries, templates, and documentation, are the intellectual property of SLK Electrical and are licensed to you — not sold. You receive a non-exclusive, non-transferable, revocable license to use the Services under these Terms. Feedback you provide may be used to improve the Services without obligation or compensation.

14. Subscriptions and fees

Paid plans are per organization: Solo, Team (up to 5 users), Studio (up to 15 users), and Enterprise (custom), billed monthly or annually. Additional internal users beyond a plan's included seats are billed per user per month. External client/viewer accounts are free.

Annual plans are billed upfront for 12 months at the annual rate (approximately 10/12 of monthly billing). Annual prepayment is prepaid service, not a deposit: it entitles you to 12 months of service and obligates us to provide it.

Fees are non-refundable except as required by law. We may change pricing, plans, or limits with reasonable advance notice; changes apply from your next billing cycle.

AI features are included with reasonable fair-use limits. If usage-based allowances are introduced, they will be announced in advance.

15. Payment and failed payments

You authorize us and our payment processor (Stripe) to charge your payment method. If payment fails, we will retry and notify you; after a grace period we may suspend access until payment resumes. You remain responsible for unpaid amounts. Suspension does not delete your data (see Section 11).

16. Taxes

Fees are exclusive of applicable taxes unless stated otherwise. Canadian customers are charged GST and QST (Québec) as applicable; our GST/QST registration numbers appear on invoices. Invoices are issued in Canadian dollars, in French and English.

17. Founding Firm Pilots

We do not offer a permanent free tier. We may offer structured Founding Firm Pilots: a 45-day pilot on one real project for up to 5 users, with white-glove onboarding, defined success criteria, and an executive review at the end. Pilots are governed by a separate pilot agreement; these Terms apply except where the pilot agreement states otherwise. We may also grant extended or complimentary access to strategic partners at our discretion.

Beta/preview features may be incomplete, inaccurate, or discontinued, and must not be used for production or professional submissions without independent verification.

18. Availability — no uptime guarantee

We use commercially reasonable efforts to keep the Services reliable, and we publish a public status page. We do not guarantee uninterrupted, error-free, or secure operation, and we do not promise any specific uptime percentage, except as stated in a separate written Enterprise SLA.

19. Changes, suspension, termination

We may modify or discontinue features with reasonable notice. We may suspend or terminate accounts for material breach, non-payment (after notice and grace period), or unlawful use.

Upon termination: your right to use the Services ends; access may be disabled; subscriptions are cancelled; unpaid amounts remain due; and your data is handled per Section 11 (export it before termination where possible — we provide the tools, the timing is yours).

20. Privacy (Québec Law 25)

Use of the Services is governed by our Privacy Policy (docs/legal/privacy-v1.md), which describes the personal information we collect, why, where it is hosted, how long it is kept, and your rights.

In particular, under Québec's *Act respecting the protection of personal information in the private sector* (Law 25):

  • Our designated privacy officer is Benjamin Slakmon (contact in the Privacy

Policy).

  • You have the right to access, rectify, and withdraw consent to the use of your

personal information, subject to legal limits.

  • We do not sell personal information. We do not use Customer Data to train AI models.

21. Security

We apply industry-standard measures appropriate to our stage: encryption in transit and at rest, authentication, row-level tenant isolation in the database, private file storage with short-lived signed URLs, and monitoring. No system is perfectly secure; you are responsible for your credentials, your users' permissions, and the classification of what you upload.

22. Disclaimer of warranties

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by law.

23. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, production, contracts, goodwill, or data; business interruption; construction or commissioning delays; regulatory penalties; or safety incidents.

Our total cumulative liability for all claims relating to the Services is limited to the amounts you paid in the 12 months preceding the event giving rise to the claim (or $100 CAD if none was paid). Nothing in this section limits liability where the law does not permit it — and where Québec consumer-protection law grants you rights that cannot be waived, those rights prevail over these Terms.

24. Indemnification

You agree to indemnify SLK Electrical against claims arising from your misuse of the Services, your violation of these Terms, or your infringement of third-party rights, except to the extent caused by our own fault.

25. Governing law

These Terms are governed by the laws of Québec and the federal laws of Canada applicable therein.

26. Dispute resolution

We will first attempt to resolve disputes in good faith through negotiation. Failing that, disputes are submitted to the courts of Québec, which have exclusive jurisdiction — subject to any mandatory consumer-protection rights you hold under Québec law, which prevail.

*Note on prior versions:* v1 contained a unilateral arbitration election and a class action waiver. Those mechanisms are restricted under Québec consumer-protection law and have been removed. Nothing here prevents you from exercising any statutory right.

27. Language / Langue

These Terms are provided in English and French (docs/legal/terms-v2.md and docs/legal/terms-v2-fr.md). In accordance with the *Charter of the French Language*, the French version is provided first and prevails in case of divergence for users in Québec.

28. General

  • Notices: we may notify you by email or in-app; you may reach us at the contact

below.

  • Changes to these Terms: material changes are notified at least 30 days in

advance; continued use after the effective date constitutes acceptance.

  • Assignment: you may not assign these Terms without our consent; we may assign

them in connection with a business transfer (see Section 1, transition clause).

  • Severability / no waiver / entire agreement / survival: standard provisions

apply; Sections 4–8, 11–13, and 20–26 survive termination.
